Terms of Service

These Terms are an agreement between you (and the organization you represent) and A3E Ecosystem Inc. ("A3E", "we"), which provides the HaulProof service, website, browser extension and API (the "Service"). By ticking "I agree", creating an account, starting a trial, creating an API key or using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. What HaulProof is

HaulProof compiles and organizes records published by government bodies (such as FMCSA, provincial transport ministries and the Commission des transports du Québec) and documents that carriers choose to share with their consent, and presents them with computed scores, tiers, signals and alerts. HaulProof is an information tool to support your own decisions. It is not a consumer reporting agency, and it does not certify, insure, endorse or guarantee any carrier. HaulProof is not affiliated with or endorsed by any government body whose records it presents.

The Service is for business use only. By accepting these Terms you confirm that you are acting for a business (including as a sole proprietor) and not as a consumer.

2. No guarantee

The Service and all data are provided "as is" and "as available". Source records can be late, incomplete or wrong, and scores are estimates. We do not warrant that information is accurate, complete or current, or that the Service will be uninterrupted or error-free. You are responsible for verifying information with the source and for your decisions, including selecting, contracting with and paying carriers. To the extent the law allows, all implied warranties and conditions are excluded.

3. Accounts

You must give accurate information, keep your password and API keys secret, and are responsible for activity under your account. Account owners manage their organization's users and roles.

4. Trial, plans and payment

Trials last 14 days and need no card. Paid plans are billed in Canadian dollars in advance, monthly or annually, by A3E through Stripe, and renew automatically until cancelled. Taxes are extra where applicable. You can cancel at any time; access continues to the end of the paid period, and fees already paid are not refunded except where required by law. We may change prices with at least 30 days' notice for the next billing period. Plan limits (users, monitored carriers, exports) apply.

5. API

API use is subject to these Terms, rate limits and usage-based fees (per unique carrier per month) shown in your account. Sandbox data is fictional.

6. Acceptable use

You will not: resell, sublicense or redistribute the data as a competing database; scrape or bulk-copy the Service beyond your plan; use the Service to make decisions about an individual's eligibility for credit, insurance, employment or housing; harass anyone named in the data; break the law, including privacy and anti-spam law; probe, overload or bypass the Service's security; or share your access with people outside your organization.

7. Carrier documents and personal information

Documents uploaded by a carrier are accepted only with its recorded consent and are handled under our Privacy Policy. If you ask a carrier to share documents, you confirm you have a legitimate business purpose. Requests to correct data are reviewed by a person; corrections to government records must be made with the source agency.

8. Our property

The Service, its software, scores, models and presentation belong to A3E. Subject to these Terms and payment, you get a non-exclusive, non-transferable right to use the Service and data for your organization's internal business purposes during your subscription. Feedback you send may be used freely.

9. Limitation of liability

To the fullest extent permitted by law, A3E and its directors, officers, employees and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, freight, cargo, data or goodwill, arising from the Service or any carrier, even if advised of the possibility. A3E's total liability for all claims relating to the Service is limited to the lesser of the fees you paid A3E for the Service in the six (6) months before the event giving rise to the claim, or C$1,000. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnity

You will defend and indemnify A3E against third-party claims arising from your use of the Service, your decisions about carriers, or your breach of these Terms or the law.

11. Suspension and termination

We may suspend or end access for non-payment, breach of these Terms, or to protect the Service or others. You may stop using the Service at any time. Sections 2, 6, 8, 9, 10 and 13 survive termination.

12. Changes

We may update these Terms. When we do, you will be asked to accept the new version before continuing to use the Service.

13. Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have exclusive jurisdiction. If a provision is unenforceable, the rest remains in effect.

14. General

Third-party services you connect (such as Stripe, Slack, Microsoft Teams or your own cloud storage) are governed by their own terms. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor to the Service. These Terms, the Privacy Policy and your plan form the entire agreement about the Service. English and French versions are both available; you may ask for either.
